AGM 2019 – Results

It was our 2019 AGM on Tuesday 3rd December at Antenna. The trustees would like to extend a massive thank you to everyone who attended or arranged a proxy vote.

We had a quorum, with 142 members present or registered as proxies, over 20% of the membership.”

It was so fantastic to put faces to names, meet you all in person and gather as community under one roof to celebrate our year together. 2019 has had many highs and some lows for the Nottingham Hackspace so we had a lot of topics to cover. We caught everyone up with the year’s most important news, enacted two changed to the constitution, signed off on the year’s finances and had a good catch up with familiar and new faces alike. A very successful AGM by any measure!

As a thank you to everyone who attended, Nottingham Hackspace challenge coins were issued to attendees. If you weren’t at the AGM, these coins are now available to purchase in the snackspace vending machines. Proxy voters can purchase them at a reduced price by contacting the trustees.

1) Add a definition to the constitution of a non-voting member

This change proposed that the following would be added to the definitions at the top of the Constitution

“Non-voting member is any member who has not communicated their absence, is not known to have physically attended the Nottingham Hackspace or stated a voting preference in the last 6 months.”

With the discussion in the room the following changes were also added to be voted on

Change:
“2.7 An AGM will be quorate if more than 20% of members attend”

To:
“2.7 An AGM or EGM will be quorate if more than 20% of voting members attend”

Add definition
“Voting member: is any member who has communicated their absence, is known to have physically attended the Nottingham Hackspace or stated a voting preference in the last 6 months.”

2) Change the wording related to the terms of Trusteeship.

Change:
“1.3 Trustees are limited to two consecutive terms”

To:
“1.3 Trustees are limited to two consecutive full terms”

3) Add an item to the constitution that limits the number of members any single member can represent through proxy voting to 10.

Add the following points:
“2.11 A voting member may proxy their vote to any other voting member who will be attending an AGM or EGM”

“2.12 An attending voting member cannot represent more than 10 proxied voting members”
